Welcome to Digital Business Directory (“the Directory,” “we,” “us,” or “our”). These Terms and Conditions govern your access to and use of our website, services, and directory listings. By accessing or using the Directory, you agree to be bound by these Terms. If you do not agree, please do not use the Directory.

1. About the Directory
   The Directory is an online business listing platform that allows business owners to create, publish, and manage listings, and allows visitors to browse, search, and review listed businesses. Services are offered primarily to users in the United States and globally.
2. Eligibility
   You must be at least 18 years old to create an account or submit a listing. By registering, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the business you represent.
3. User Accounts
   You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Listings and User Content
   When you submit a listing, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your listing content on the Directory and related marketing materials.

You represent and warrant that:

• All information in your listing is accurate, current, and not misleading.
• You own or have permission to use all content, images, and trademarks in your listing.
• Your listing does not violate any law or infringe any third-party rights.

We reserve the right to edit, reject, or remove any listing at our discretion, particularly if it violates these Terms or applicable law.

5. Prohibited Content
   Listings must not contain:

• False, fraudulent, or deceptive information.
• Illegal products, services, or activities.
• Hate speech, harassment, or discriminatory content.
• Malware, spam, or phishing links.
• Adult, obscene, or offensive material.

5. Payments and Featured Listings
   Certain services, such as featured listing upgrades, require payment. All prices are listed in U.S. Dollars (USD) and are exclusive of applicable taxes unless stated otherwise.

• Payments are processed through PayPal.
• Featured listing upgrades are active for the purchased duration (e.g., 30 days) and automatically revert to a standard listing upon expiration.
• All sales are final. Refunds are not provided except where required by law or at our sole discretion.

5. Subscription Packages (Future)
   If subscription pricing packages are introduced, they will be governed by separate terms presented at the time of purchase, including billing cycles, renewal terms, and cancellation policies.
6. Intellectual Property
   The Directory’s design, branding, software, and content (excluding user-submitted listings) are our property or licensed to us. You may not copy, modify, distribute, or create derivative works without our prior written consent.
7. Third-Party Links
   Listings may contain links to third-party websites. We do not endorse or assume responsibility for the content, products, or services of any third-party site.
8. Disclaimer of Warranties
   The Directory and all content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not guarantee that the Directory will be uninterrupted, secure, or error-free.
9. Limitation of Liability
   To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Directory, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
10. Indemnification
    You agree to indemnify and hold harmless the Directory, its owners, affiliates, and agents from any claims, damages, or expenses arising from your use of the Directory, your listings, or your violation of these Terms.
11. Termination
    We may suspend or terminate your access to the Directory at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Directory ceases immediately.
12. Changes to These Terms
    We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the Directory after changes constitutes acceptance of the revised Terms.
13. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Leesburg, Virginia.
